1. AGREEMENT TO TERMS
By purchasing, scheduling, or participating in any coaching service offered by Anthergy, LLC. ("Anthergy," "we," "us," or "our"), you ("Client") agree to be bound by these Terms and Conditions. This agreement constitutes a legally binding contract between you and Anthergy, LLC., a Missouri limited liability company.

2. SERVICES OFFERED

Anthergy, LLC. provides executive leadership coaching services, including:

• Clarity Intensive — A single 90-minute coaching session designed to provide focused clarity on a specific challenge or transition.

• Private Coaching — An ongoing monthly coaching engagement consisting of scheduled sessions, support, and resources as outlined at the time of enrollment.

• Additional offerings — Any other programs, workshops, or resources offered by Anthergy LLC, subject to their own terms as applicable.

Coaching services are provided by Nicole Eversgerd, LPCC-certified coach, or other qualified coaches designated by Anthergy, LLC.

3. NATURE OF COACHING—NOT THERAPY

Coaching is not therapy, counseling, psychotherapy, or mental health treatment. Coaching does not diagnose, treat, or cure any mental health condition, medical condition, or illness.

• Anthergy, LLC.'s services are designed for capable, motivated professionals seeking growth, clarity, and performance development.

• If you are experiencing mental health challenges, please seek the support of a licensed mental health professional.

• Participating in coaching does not create a therapist-patient, attorney-client, or fiduciary relationship.

4. FEES AND PAYMENT

4.1 Pricing

Current service rates are listed on the Anthergy, LLC. website at the time of purchase. Rates are subject to change with reasonable notice; however, locked founder rates are honored for the term agreed upon at time of enrollment.

4.2 Payment Terms

• All fees are due at the time of booking unless a payment plan has been explicitly agreed upon in writing. 

• Payments are processed via Credit Card, Paypal, and Apple Pay.

• By providing payment information, you authorize Anthergy, LLC. to charge the applicable fees.

4.3 Monthly Coaching Packages

• All fees are due at the time of booking unless a payment plan has been explicitly agreed upon in writing.

• Payments are processed via Stripe or other designated payment processors.

• By providing payment information, you authorize Anthergy LLC to charge the applicable fees.

4.4 Failed Payments

If a payment fails, Anthergy, LLC. will notify you and allow a 5-business-day cure period. Access to services may be paused until payment is successfully processed.

5. CANCELLATION AND REFUND POLICY

5.1 Individual Sessions (Clarity Intensive)

• Cancellations made 48 hours or more before the scheduled session will receive a full refund or credit toward rescheduling.

• Cancellations made less than 48 hours before the session are non-refundable.

• No-shows are non-refundable.

5.2 Monthly Private Coaching

• You may cancel your monthly coaching engagement at any time with 14 days' written notice prior to the next billing date.

• If cancellation notice is received less than 14 days before the next billing date, the final month's fee will be charged.

• No partial-month refunds are issued.

• Prepaid coaching packages (multi-month) are non-refundable once the first session has occurred; however, unused sessions may be applied as credit toward future services at Anthergy LLC's discretion.

5.3 Coach-Initiated Cancellation

• In the unlikely event that Anthergy, LLC. must cancel a session, the Client will be offered a reschedule at no additional cost or a full refund for that session.

6. RESCHEDULING

• Clients may reschedule a session with at least 24 hours' notice at no charge.

• Reschedules requested less than 24 hours in advance may be treated as a late cancellation at Anthergy LLC's discretion.

• Rescheduling is subject to coach availability.

7. CLIENT RESPONSIBILITIES

To maximize the value of coaching, Clients agree to:

• Engage honestly and openly in sessions.

• Bring a topic with a desired outcome to the session.

• Give their full attention, making space for the session without multi-tasking.

• Complete any agreed-upon exercises, reflections, or assignments between sessions.

• Arrive on time to scheduled sessions. Sessions will not be extended for late starts.

• Provide accurate contact and payment information.

• Notify Anthergy, LLC. of any concerns about the coaching relationship promptly.

8. CONFIDENTIALITY

8.1 Coach Confidentiality

• Anthergy LLC will hold all information shared by the Client in strict confidence and will not disclose it to any third party without the Client's written consent, except as required by law (e.g., imminent risk of harm to self or others).

8.2 Client Confidentiality

• The Client agrees not to share, reproduce, distribute, or publish any proprietary coaching materials, frameworks, tools, or methodologies provided by Anthergy, LLC. without express written permission.

9. INTELLECTUAL PROPERTY

All coaching materials, frameworks, worksheets, audio content, written resources, and methodologies provided by Anthergy, LLC. are the intellectual property of Anthergy, LLC. and are licensed to Clients for personal use only. Clients may not reproduce, sell, sublicense, or distribute any Anthergy, LLC. content without prior written consent.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law:

• Anthergy, LLC. makes no guarantees regarding specific outcomes, results, income, career advancement, or any other measurable result from coaching.

• Anthergy, LLC.'s total liability to any Client for any claim arising out of or related to coaching services shall not exceed the total fees paid by the Client in the three (3) months preceding the claim.

• Anthergy, LLC. is not liable for any indirect, incidental, consequential, or punitive damages.

Coaching results depend significantly on the Client's own effort, commitment, and circumstances, which are beyond Anthergy, LLC.'s control.

11. INDEMNIFICATION

Client agrees to indemnify, defend, and hold harmless Anthergy, LLC., its members, officers, coaches, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) Client's breach of these Terms; (b) Client's misuse of coaching services; or (c) any third-party claims related to Client's use of Anthergy, LLC. services.

12. DISPUTE RESOLUTION

12.1 Good Faith Resolution

Both parties agree to attempt to resolve any dispute informally by contacting Anthergy, LLC. directly at [your email address] within 30 days of the issue arising.

12.2 Mediation

• If informal resolution fails, the parties agree to submit the dispute to non-binding mediation in Boone County, Missouri before pursuing other remedies.

​

12.3 Governing Law

• These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles.

​

12.4 Jurisdiction

Any legal action not resolved by mediation shall be brought exclusively in the state or federal courts located in Boone County, Missouri.

13. SESSION RECORDING

Sessions will not be recorded by Anthergy, LLC. without the Client's prior written consent. If a Client wishes to record a session for personal use, written permission must be obtained from Anthergy, LLC. in advance. Recordings may not be shared publicly or with third parties.

14. ACCESSIBILITY AND COMMUNICATION

• All sessions are conducted virtually via video call (Zoom or equivalent) or phone. Anthergy, LLC. does not offer in-person coaching sessions.

• Between-session support (email, voice messaging) is available as outlined in your specific program description.

• Response times for between-session communication are typically within 1–2 business days. Coaching support is not a crisis service.

15. MODIFICATION TO TERMS

Anthergy, LLC. reserves the right to update these Terms and Conditions at any time. Clients will be notified of material changes via email or through the Anthergy, LLC. website. Continued use of services following notice of changes constitutes acceptance of the updated Terms.

16. ENTIRE AGREEMENT

These Terms and Conditions, together with any program-specific agreements, constitute the entire agreement between the Client and Anthergy, LLC. and supersede all prior discussions, representations, or agreements.
